Paul Patterson represents clients in the areas of business reorganization, loan restructuring, loan documentation and commercial finance, bankruptcy and business law. He primarily represents financial institutions and other lenders, but also advises companies and business organizations of different types.

Mr. Patterson has handled a variety of representations throughout his career. A sampling of his experience includes:

  • representing lenders of all sizes and types in documenting secured and unsecured credit facilities to varying types of borrowers

  • representing secured creditors and other parties in connection with the sale of all or substantially all of a debtor’s assets under a plan of reorganization and Section 363 of the Bankruptcy Code

  • counseling a mid-sized regional lender as a senior secured creditor in the financing of a leveraged buy-out and the providing of other related credit facilities

  • representing both lenders and borrowers of all sizes in the documentation of credit facilities with respect to the financing of the sale of all or a portion of businesses (through both asset sales and stock sales), outside of the context of a bankruptcy proceeding

  • acting as counsel on behalf of both large national and small- to mid-sized regional financial institutions in connection with the issuance of letters of credit to support industrial revenue bond financing in counties throughout the Commonwealth of Pennsylvania, as well as other states

  • advising all types and sizes of lenders in connection with subordination, intercreditor, junior lien, agency, loan syndication and participation agreements, and related issues

  • providing advice to a mutual-fund client regarding the impact and possible opportunities that may exist with respect to their bond holdings as a consequence of Chapter 11 petitions filed by a national health care group

  • assisting a national lender in the structure and documentation of various credit facilities available in U.S. and foreign currencies

  • advising various lenders and other financial institutions with respect to securing loans with unique or unusual types of collateral, including certificates of deposit, deposit accounts, intellectual property, chattel paper, “non-assignable” contracts, investment property and rights under letters of credit

  • representing a locally-based borrower with operations throughout the world in connection with agented credit facilities used for working capital, acquisition and other purposes

  • representing fidelity and surety companies, as issuers of both payment and performance bonds, in insolvency and bankruptcy proceedings of indemnitors, contractors and other obligors

  • representing various sizes and types of lenders in connection with debtor-in-possession financing and cash collateral matters in bankruptcy proceedings

  • representing lenders as defendants in various claims brought in and outside of bankruptcy court, including breach of contract, equitable subordination, preference, fraudulent conveyance and other “lender liability” claims and litigation

  • representing a federal district court appointed receiver in connection with insolvency and litigation proceedings arising out of a failed hedge fund, including matters involving cross-border insolvency issues in the Cayman Islands and Canada

Consecutively since 2007, Mr. Patterson was named to The Best Lawyers in America, regarded as a definitive guide to legal excellence in the United States. Selection for Best Lawyers is based on a peer-review survey in which more than 1.8 million individual evaluations are reviewed. He was also recognized as a preeminent AV-rated attorney by Martindale-Hubbell.

Mr. Patterson was also named a Pennsylvania Super Lawyer® consecutively since 2007 by a vote of his peers. He was also recommended as a leader in bankruptcy/restructuring in Pennsylvania in the 2014, 2013, 2012, 2011, 2010, 2009 and 2008 editions of Chambers USA: America’s Leading Lawyers for Business, where he was recognized as an attorney who “looks out for the best interests of his clients and always raises pertinent issues.”

Mr. Patterson received his “National Certification as an expert in Chapter 11 Business Bankruptcy” from the American Board of Certification in 1995. The National Institute for Trial Advocacy also bestowed upon him a similar certification in Bankruptcy Advocacy.


Mr. Patterson lives in Wyncote, Pa. with his wife Trish, and has three daughters, Rosemary, Emilie and Kathleen. He remains active in various running and triathlon races, having completed multiple Boston Marathons, Ironman distance triathlons and other events. He was selected as a member of the 2011, 2010 and 2008 United States team to compete at the International Triathlon Union Long Course World Championships, and has also been named a USA Triathlon all-American.
