Michael Roynan focuses his practice on public, corporate and real estate-based finance. He has served as bond counsel or counsel to issuers, banks and borrowers in more than 50 tax-exempt debt financings with an aggregate value in excess of $2 billion. He has participated in many types of public finance transactions, with a particular emphasis in manufacturing, nonprofit and governmental financings.
A significant portion of Mr. Roynan’s practice involves structuring and completing complicated project financings for the construction of major infrastructure improvements for nonprofit institutions. Mr. Roynan has served as lead attorney on behalf of the firm in a number of transactions for several major area hospitals, continuing care retirement communities and museums. These transactions often require the resolution of an array of real estate, credit and tax issues.
Financing facilities for local universities and private secondary and elementary schools is another important component of Mr. Roynan’s practice. These transactions often involve the resolution of significant federal tax and constitutional law issues, in particular, when the financing is for the benefit of elementary and secondary schools affiliated with, or sponsored by, religious institutions. The firm has taken a leading role in developing a framework for analyzing the viability of financing religiously affiliated schools under the changing landscape of First Amendment Law.
