Michael Bonner represents banks, commercial finance companies and other lenders in commercial loan transactions. His representation includes asset-based financing, acquisition financing, second lien financing, debtor-in-position financing, exit financing, general commercial financing and workouts. He also represents companies in general business and commercial matters.
Some of Mr. Bonner’s notable engagements include representing:
- the agent in an $85 million credit facility in connection with a private equity fund’s leveraged buyout of a food distribution business
- a publicly held company in a $125 million credit facility and a $75 million private placement
- a mutual fund complex in a $175 million credit facility and a $180 private placement
- a mutual fund complex in connection with the sale of its fixed income investment advisory management business
- a mutual fund complex in connection with the outsourcing of its transfer agency and shareholder services
Mr. Bonner lectures on financial issues facing the business community, including his presentation to one of the firm’s financial institution clients on “Issues Relating to Loan and Security Agreement and Points of Negotiation.” He also presented “Selected Article 9 Remedies and Enforcement Issues” at a monthly meeting of the Association of Commercial Finance Attorneys, Inc. PERSONAL
Mr. Bonner is a member of the firm’s Partner Compensation Committee. He is a former member of the Board of Trustees of Our Lady of Lourdes Hospital, and currently serves on the Hospital’s Audit and Ethics Committee and is the Chairman of the Hospital’s Charity Golf Outing.
He was also very active with St. Mary’s Roman Catholic Church and Grammar School, where he served in various roles over a ten-year period, including Athletic Director, Girls Varsity Basketball Coach, Parish Counsel, Board of Education and lector.
