Alycia Vivona has broad experience handling complex mergers and acquisitions, corporate restructurings, secured lending and intellectual property licensing matters. For almost two decades, she has represented foreign and domestic clients in cross-border transactions involving numerous countries, including China, Egypt, France, Germany, Japan, the Netherlands, Nigeria, Spain, Sweden and Thailand. Based on these experiences, she advises her clients on the effective and efficient implementation of a variety of legal structures, including asset and stock purchases, mergers, joint ventures, perpetual and shorter-term licensing arrangements, distribution and supply agreements, and other commercial arrangements. The holder of an M.B.A., with honors, from the Columbia University Graduate School of Business, Ms. Vivona combines pragmatic business insight with years of legal experience to achieve the best value for her clients in transactional business matters.
Ms. Vivona’s experience includes:
- representing a leading multinational seed producer in its negotiations with a U.S. biotech firm for a research collaboration and a preferred stock investment
- representing a global research, consulting and technology firm in its disposition of a healthcare-related software product through a fully-paid, perpetual, royalty-free worldwide software license
- drafting and negotiating a business development agreement under which a major worldwide food products company influences the flavor-related aspects of a mobile phone application that assists consumers with their shopping choices
- representing a major U.S. pharmaceutical company in connection with its disposition of manufacturing facilities and related business in Egypt
- advising an Italian company on its acquisition of the U.S. parent of an optical products manufacturer with operations in Germany and China
- advising an Indian company on agreements for the supply and development of pharmaceutical products
- representing a major worldwide food products company in its acquisition and disposition of various business units
- advising a French software company in its acquisition of a California software company
- representing a French infrastructure services company in a going-private transaction involving the second largest investor-owned water utility in the United States
- advising a risk-management consulting firm in a four-way intellectual property licensing arrangement involving parties in the United States, the United Kingdom, Germany and Spain
- representing Japanese and German banks with respect to their participation in various project finance transactions
- representing an English bank in a combined letter of credit/revolving credit financing aggregating $180 million
- advising a client relating to the acquisition, packing, transportation and reinstallation of medical equipment from a bankrupt U.S. hospital to a new hospital in Lagos, Nigeria
- representing a French packaging manufacturer in its buyout of minority investors in three related entities in the United States, Hong Kong and Indonesia
In addition to her client representation, Ms. Vivona prides herself on giving back to her community. She provides pro bono service to a non-commercial community radio station and a newly-formed South Bronx, N.Y., charter school. She also serves on the board of the Croton-Cortlandt Center for the Arts. PERSONAL
During college, Ms. Vivona completed a year of study at the Lycée Paul Bert in Paris and a year of intensive Japanese language study at Keio University in Tokyo. In 1996, she spent six months working in Tokyo with a top Japanese law firm. |
