Ranan Well focuses his practice on a broad range of corporate and financing matters, and represents public and private clients in mergers and acquisitions, private equity and venture capital investments, joint ventures and debt financings. Mr. Well’s clients span numerous industries, including financial services, health care, food, hospitality and professional services.

In addition, Mr. Well has significant experience in investment management transactions and works closely with Stradley Ronon’s investment management group in connection with advising sponsors in the formation of private investment funds; negotiating side letters on behalf of investors seeking to invest in private investments funds; mutual fund adoptions and mergers of registered investment companies; and purchasing and selling registered investment advisers.

Mr. Well’s experience includes the representation of:

  • a large mutual fund complex in its agreement with a registered investment adviser to acquire equity and bond mutual funds with approximately $3.6 billion in assets

  • a registered investment adviser in the sale of its business to a global investment manager

  • a registered investment adviser in its acquisition of the portion of the business of an asset manager relating to the management of 11 mutual funds, and the reorganization of such funds into funds managed by the registered investment adviser

  • an established asset manager in its acquisition of the portion of the business of an investment manager relating to the management of eight mutual funds

  • a global asset management firm and an international law firm in connection with the sale of all of their interests in a wealth management firm to an affiliate of a financial services holding company

  • an affiliate of a financial services holding company in its purchase of a provider of retirement plan and personal trust services 

  • a private equity firm focused on the asset management industry in the acquisition of a minority stake in a fund of hedge funds manager

  • the chief executive (primary founding member) in the formation of a joint venture with an affiliate of a leading investment firm for the purpose of engaging in the investment advisory, investment management and wealth management businesses

  • an established private equity fund manager that invests in the U.S. energy and electric power sector in its acquisition of the owner and operator of a hydroelectric facility, a FERC regulated public utility

  • a data communications and Internet solutions provider to the hospitality industry in its sale to an affiliate of Switzerland’s leading telecommunications provider

  • an affiliate of a Fortune Global 500 company and a global leader in HR services in its purchase of the business of a temporary staffing company

  • several private equity and venture capital firms in the acquisition of American Depository Shares of a bio-pharmaceutical company

  • a market-leading specialty finance company in connection with the drafting, negotiation and execution of a warrant agreement with, and its receipt of warrants from, an operator of local exchange carriers in rural markets nationwide

  • a special purpose acquisition company in its $100 million initial public offering

  • the underwriter of a $414 million initial public offering of a special purpose acquisition company

  • the loan trustee, on behalf bondholders, in a Section 363 sale of substantially all of the assets of a builder of elevating support vessels

  • several financial institution creditors in the Lehman Brothers bankruptcy in connection with the filing, trading and settlement of claims

  • the financial guarantors of a series of bonds in connection with the restructuring of debt of an Indian gaming enterprise

  • a global finance company as administrative agent and lead lender in a debt restructuring of a distressed borrower in the energy industry, and in the subsequent sale by the company of its equity and debt interests in the borrower

  • a partner in a series of real estate partnerships in a complex and hostile renegotiation of partnership governance and economic relationships, and assisting in the representation of a different partner in subsequent arbitration proceedings relating to the renegotiated relationships

Mr. Well also represented a provider of opto-electronic components and subsystems in its $27.6 million Series B financing, which was recognized as the Washington Business Forward’s “Deal of the Year.”
