As a partner in the Business Practice Group, Deborah Hong concentrates her practice in the areas of structured finance, mergers and acquisitions, and general corporate counseling.
Recently, Ms. Hong has:
• represented a wholly-owned Hong Kong subsidiary of a publicly held (NYSE) company in connection with a $5 million acquisition of manufacturing assets of a Hong Kong corporation and issued share capital of a wholly-owned subsidiary
• represented a publicly held (AMEX) manufacturer of electronics and systems equipment for the cable television industry in its $19 million acquisition of a product line
• represented a privately held airline parts manufacturer in $265 million stock sale
• represented a privately held food tray manufacturer in $103 million stock sale, complicated by a 3 year, $15 million earnout
• represented affiliated entities in connection with $22 million sale of real and personal property assets of assisted living and continuing care facilities
• designed and implemented a creative restructuring plan for a privately held investment advisor to isolate a valuable asset from its existing ownership structure
• represented a publicly held (NYSE) company in connection with redemption of $23 million in convertible subordinated debentures
• represented a bank in connection with acquisition of stock of several affiliated investment advisory organizations
• represented a nationally recognized investment manager in several CDO structured finance transactions
• represented sales and marketing distribution arm of various fund complexes in connection with sale of 12b-1 and 529 revenue streams
• negotiated enterprise-wide form ISDA, Repurchase Agreement (including Tri-Party Repos), and Securities Lending documentation for numerous mutual fund complexes and other financial institutions with various broker-dealer counterparties
Ms. Hong currently serves as president of the Asian Pacific American Bar Association of Pennsylvania. In 2010, The Legal Intelligencer recognized her as one of Pennsylvania’s “Lawyers on the Fast Track.” PERSONAL
