David Joseph advises a broad range of private and public companies in a variety of industries – from financial services to electronic publishing. His practice includes securitization and structured finance, mergers and acquisitions, public and private securities offerings, private investment funds, derivatives, commercial finance and general corporate work.
Mr. Joseph's representative transactions include:
- acting as issuer counsel for a federal government agency in connection with its program to re-securitize mortgage-backed securities and asset-backed securities held by failed financial institutions
- representing national mortgage originators in the negotiation and implementation of mortgage loan flow sale and servicing arrangements with various capital markets counterparties
- assisting a Pennsylvania bank holding company with a registered direct offering of its publicly traded common stock
- helping large institutional investors and insurance companies develop and implement strategies to mitigate losses on their portfolios of mortgage-backed securities
- serving as issuer counsel for national mortgage lenders in connection with their residential mortgage loan securitization programs, which consisted of regular public offerings of asset-backed securities
- representing a national mortgage loan servicer in its acquisition of a servicing platform and portfolio of mortgage servicing rights from the bankruptcy estate of a failed mortgage originator
- forming and structuring private investment fund vehicles to raise capital for investment in distressed real estate assets
- negotiating and documenting the sale of a branch network and related loan portfolio for a national mortgage lender
- advising a publicly held bank holding company in connection with its acquisition by merger of another publicly held bank holding company
- structuring and documenting a privately placed securitization of tax-exempt equipment leases for a Wall Street investment bank
- representing a private-equity portfolio company in the security industry in connection with the negotiation of a syndicated credit facility and the implementation of its program of strategic acquisitions of its franchises throughout the United States
- advising a New York-based bank in its capacity as trustee in several publicly offered stranded cost securitizations for regional utilities in Pennsylvania, New Jersey, Michigan, Massachusetts, Texas and New Hampshire
- negotiating loan warehouse and repurchase facilities with investment banks and asset-backed commercial paper conduits
- serving as underwriter counsel in connection with state general obligation tax-exempt bond offerings
- representing a Pennsylvania bank in connection with its acquisition of a Delaware investment-advisory firm
- acting as trustee counsel on a securitization of stadium and television revenues for a major league baseball franchise
- advising a regional venture capital fund in connection with structured investments in emerging technology companies
PERSONAL
Mr. Joseph graduated first in his law school class and has published in, and served on, the editorial board of the Temple University Law Review. Following law school graduation, Mr. Joseph served for one year as a judicial law clerk to the Hon. William H. Yohn of the U.S. District Court for the Eastern District of Pennsylvania. |
