Course Description: This course will cover strategies for the effective drafting and negotiation of representations and warranties in acquisition agreements, including:
- Review of representations and warranties typically given by buyers, sellers and selling stockholders
- Risk allocation through use of appropriate qualifiers (e.g., materiality and knowledge limitations)
- Recommendations for preparation of disclosure schedules
- Participation in a hands-on drafting exercise aimed at putting these strategies into practice
