| March 25, 2009 Stradley Ronon partner Eric Schoenborn presented at the webinar, “Smaller Reporting Company Regulatory Relief and Simplification,” hosted by The Knowledge Congress. The presentation addressed the amendments by the Securities and Exchange Commission to the disclosure rules for smaller reporting companies. Schoenborn focused on the practical implications of these amendments for smaller reporting companies and the differences in disclosure obligations for larger versus smaller reporting companies.
As chair of the firm’s publicly held companies practice group, Schoenborn advises clients in connection with the public and private offering of securities, including the preparation of registration statements under the Securities Act of 1933 and related state registrations or exemptions. He also counsels publicly held companies with respect to compliance under federal and state securities laws, including the preparation and filing of periodic reports such as quarterly and annual reports and proxy statements under the Securities Exchange Act of 1934.
