Financing Growth
Mergers & Acquisitions
Stradley Ronon was built by helping companies grow. Since 1926, we have been guiding businesses through every stage of development – from entrepreneurs pioneering new products and services to Fortune 500 companies expanding in mature industries. Among our proudest accomplishments are our continuing relationships with our clients we have counseled and fought for at every stage of growth, from initial formation to structuring major financing, acquisitions and buyouts.
Whether we’re resolving corporate control issues, overcoming regulatory obstacles, addressing tax issues, managing business structuring in Delaware, dealing with labor and employment challenges or expanding operations internationally, our lawyers help clients achieve their business goals.
Building a Solid Foundation
The decisions in a company’s formative years are critical for developing financing structure and protecting founders and owners. We assist new ventures in selecting the most advantageous legal structure:
- corporation
- limited liability company
- business trust partnership
- limited partnership
- limited liability partnership or other entity
We also counsel them on initial debt and equity financing, employment agreements and other important decisions.
In addition, innovative technology is often the most important asset of an emerging company. Advising clients about the acquisition, protection and exploitation of intellectual property is a central element of our business law practice.
Financing Growth
Each year, we represent publicly traded and privately held companies seeking capital. Furthermore, because we have also represented venture capital funds and investors over the years, we are often able to match emerging companies with interested financing sources and to structure transactions that meet the needs of both.
Our business lawyers also assess and recommend financial options for each unique transaction such as commercial bank loans, tax-exempt financing, workouts, restructuring and other reorganizations.
Our work often involves:
- plant and equipment loans
- lines of credit
- revolving credit agreements
- term loans
- letter of credit facilities
- conventional collateralized loans
- subordinated indebtedness
- structured financings
- syndicated arrangements
Mergers & Acquisitions
In addition, Stradley Ronon attorneys have considerable experience representing borrowers and lenders in major corporate-type financing transactions. We structure, negotiate and prepare documentation for major credit facilities. These transactions sometimes involve the sophisticated use of preferred stock having a variety of features, including convertibility into the borrower’s common stock, issuance of warrants to purchase borrower’s common stock and other devices.
