Lori Buchanan Goldman advises public and private companies on securities, mergers and acquisitions, commercial transactions and public financing.

In her securities practice, she represents clients in offerings of equity and debt securities (both public and private), including preparation of registration statements, private placement memoranda, and related registrations and exemptions. She also advises publicly held clients with respect to compliance under federal and state securities laws, including the preparation and filing of quarterly and annual reports, proxy statements and other required filings.

Lori has extensive experience in mergers and acquisitions, including merger, stock and asset transactions. She also regularly counsels companies on general corporate law matters.

Prior to joining Stradley Ronon, Lori was a corporate and finance associate with a Manhattan law firm.

  • represented Atlantic Coast Financial Corporation, the Florida-based holding company for Atlantic Coast Bank, in its $48.3 million underwritten public offering of common stock
  • assisted Beneficial Mutual Bancorp, Inc. in connection with its $30.6 million acquisition of SE Financial Corp., the parent holding company of St. Edmond’s Federal Savings Bank
  • advised a wireless technology development and licensing company with a $1.8 billion market capitalization in structuring and implementing a reorganization of its 11 subsidiaries
  • represented a California-based recycling company in its acquisition of the assets of a large integrated recycler of used beverage containers for the purchase price of approximately $26.7 million
  • represented a media publisher in its acquisition of a social media and public relations company
  • represented an investment firm in the sale of a restaurant chain to an alternative investment firm
  • represented Customers Bank in connection with its corporate holding company restructuring and acquisition of Berkshire Bancorp
  • represented Bryn Mawr Bank Corporation in its $18.5 million acquisition of the private wealth management group of Hershey Trust Company
