Tom Harris focuses his practice on the corporate transactional and health care arenas. His mergers and acquisition experience include the manufacturing and service industries, while his health care practice includes health system affiliations, joint venture, contract structuring, and fraud and abuse compliance. Tom’s M&A transactions generally involve middle-market ($10 million to $300 million) mergers and acquisitions, many of which come to market through private auctions and involve complex provisions such as working capital adjustment, earn-out and indemnity provisions. Many of his transactions have involved the purchase or sale of business internationally. In connection with such transactional matters, Tom regularly advises and coordinates closings in the senior and mezzanine commercial lending areas. He has extensive experience working with investment bankers and closing transactions within an aggressive timeframe.
Tom’s health care practice includes international joint ventures in China and Taiwan. He also advises businesses on private equity, private placement of securities, real estate and other general business law matters.
Tom has extensive experience in the drafting and negotiation of management services contracts, including public-assembly facility management and food concession contracts. In connection with these engagements, he has provided advice regarding compliance with tax exempt bond regulations (specifically IRS Revenue Procedure 97-13).
