Overview

Kevin Kundra is the co-chair of Stradley Ronon’s structured finance practice group, focusing his practice on securitization, structured finance, swaps and derivatives. He also handles all aspects of federal and state securities law, including public and private securities offerings, as well as various forms of private investment funds (including hedge funds and private equity funds).

Kevin regularly represents clients in the investment management industry in various transactional matters, including establishment of credit facilities, restructurings and negotiation of derivatives and investment documentation. He also frequently advises clients regarding regulatory requirements relating to swap and derivatives transactions imposed by the Dodd-Frank Act and related regulations established by the Commodities Futures Trading Commission (CFTC) and Securities and Exchange Commission (SEC).

  • represented a global real estate investment manager with an equity investment in one of the largest and fastest-growing private data center developers in the Americas
  • acted as issuer counsel for a federal government agency in connection with a series of transactions to re-securitize a variety of asset-backed securities previously held by failed financial institutions
  • represented several nationally recognized investment managers in numerous CLO and a variety of other CDO structured finance transactions (including the formation of requisite warehouse facilities)
  • represented issuers and trustees in asset-backed securitization transactions involving mortgages, equipment leases, stranded cost receivables and various other asset classes
  • negotiated enterprise-wide ISDA agreements, centrally cleared swap agreements, futures agreements, repurchase agreements and other derivatives documentation for numerous mutual fund complexes, investment advisers and other financial institutions
  • formed and closed the securities offering to fund and negotiated the subsequent investments made by numerous private equity, real estate and hedge funds
  • handled public and private equity and debt offerings, including IPOs, follow-on and secondary offerings, PIPEs, convertible securities offerings, Rule 144A and Regulation S offerings
