PHILADELPHIA – Stradley Ronon Partners Thomas L. Hanley and Deborah Hong, along with EPAM Systems Senior Counsel Kate Pytlewski, presented “Cigna Health and Life Insurance Company v. Audax Health Solutions, Inc.: Buyers Beware” as part of a Corporate & Securities Law CLE Institute hosted by the Greater Philadelphia/Delaware Valley chapter of the Association of Corporate Counsel on March 3 in Philadelphia. The panelists discussed the impact of the recent Delaware Chancery Court decision on deal structuring and negotiations, and provided important practice pointers for merger agreement drafting, indemnification structure and escrow provisions in the post-Cigna v. Audax deal environment.

Hanley is co-chair of Stradley Ronon’s public companies practice group. He advises public and private companies on corporate and securities law issues, including capital-raising transactions, mergers and acquisitions, corporate governance, SEC compliance and corporate litigation. Hanley also counsels management, in-house counsel, boards of directors, board committees and investors on fiduciary duty issues, takeover defense, proxy contests/contested elections and related issues.

Hong focuses her practice on corporate transactions, including mergers and acquisitions, venture capital transactions, joint ventures, and corporate restructurings and reorganizations. Her clients include a number of privately owned, middle-market companies as well as publicly held companies in the technology, media, retail, investment management and manufacturing sectors. Hong also provides general corporate and strategic business counseling for a variety of clients.
