Stradley Ronon Partners Present at Mutual Fund Directors Forum Event

PHILADELPHIA – Stradley Ronon Partners Michael P. O’Hare and Fabio Battaglia, along with speakers from Deloitte, presented “Nuts & Bolts of Being a Director” at the Mutual Fund Directors Forum seminar on July 20 in New York. The half-day event, tailored for newer mutual fund directors, was based on the Forum’s New Director Guide co-authored by Stradley Ronon and featured a discussion of the duties, responsibilities and challenges facing directors in their first years of service on a mutual fund board.

O’Hare focuses his practice on advising investment companies (including mutual funds, closed-end funds, business development companies and private funds), independent directors, investment advisers, broker dealers and financial services organizations with regard to securities and corporate laws and regulations, compliance and transactional matters. He assists clients with fund creation and operation; business transactions such as fund and adviser restructurings, acquisitions and other corporate transactions; and negotiation of various service provider and intermediary agreements. O’Hare has particular experience with regard to corporate governance and represents both funds and fund independent directors.

Battaglia focuses his practice on counseling investment companies and investment advisers in connection with various regulatory, compliance and transactional issues. He advises clients on a range of investment management and securities law matters, including the formation, registration and ongoing operations of registered investment companies; the preparation of regulatory filings; and the drafting of compliance procedures and corporate policies.
