Stradley Ronon Partner Alison Fuller was quoted in a recent BoardIQ article on what a Securities and Exchange Commission rule proposal could mean for mutual fund boards. The article, "Derivatives Proposal Ups Ante for Director Expertise," outlined a plan to more closely regulate funds' use of derivatives.

"It's highly, highly complex, and that's where challenges will be presented for mutual fund boards," says Alison Fuller, a partner at Stradley Ronon and former assistant chief counsel in the SEC's Division of Investment Management. "This rule will require asset managers and fund boards to acquire a new vocabulary and be able to apply that vocabulary fluently."
"At some level [directors] are going to need to understand this new vocabulary," she says, noting the topic will be one of the bigger educational endeavors for boards this year and next. "VaR sounds simple, but I'm not sure understanding it is."
