Andreas Andrews Participates in Panel Discussion with the American Bar Association Section of Taxation

PHILADELPHIA – Stradley Ronon Attorney Andreas Andrews participated in the American Bar Association’s Section of Taxation inaugural “Tax Bridge to Practice Webinar,” sponsored by the ABA’s Young Lawyer’s Forum, on June 10. Andrews’ panel, “The Age-Old Debt/Equity Conundrum,” discussed the classification of certain instruments as debt or equity, providing background on the applicable rules for determining whether an instrument is debt or equity for tax purposes, along with an overview of recent Treasury regulations in this area. The panel also discussed the practical impacts of the debt/equity classification, and why the IRS cares extensively about this issue.

Andrews focuses his practice on tax issues related to mergers and acquisitions and other transactional matters. Andrews has experience reviewing partnership agreements, including agreements related to renewable energy partnerships, private equity partnerships, and family partnerships. His experience also includes drafting opinions regarding substantive federal tax issues, including debt versus equity, disguised sales, noncompensatory partnership options, and partnership entity qualification.
