PHILADELPHIA — Caroline Gorman, Stradley Ronon partner and chair of the firm’s corporate practice, together with Louis Abrams, vice president and counsel at Brown Brothers Harriman & Co., led a webinar for the Association of Corporate Counsel (ACC), Greater Philadelphia chapter, on October 27. The program, “Private Credit, Fund Finance & Complex Debt Structures: Practical Considerations for In-House Counsel,” explored how private credit funds and non-bank lenders are reshaping commercial debt markets through sophisticated capital structures and alternative leverage solutions.
The presentation highlighted key considerations for in-house counsel when companies enter into or generate these structures, including key diligence and governance considerations, negotiating and escalation points, and ongoing compliance obligations.
Caroline focuses her practice on all aspects of secured and unsecured financing, including asset-based financing, second-lien, mezzanine and other junior credit financing, real estate acquisition, development and construction financing, healthcare financing, general secured financing and loan workouts. She represents banks, commercial finance companies, private credit funds and various other lenders in all aspects of commercial lending.
