Overview

Mena Larmour focuses her practice on counseling registered investment companies (including mutual funds, closed-end funds, interval funds and exchange-traded funds), independent trustees and investment advisers on a wide range of regulatory, corporate and transactional matters. Specifically, Mena’s practice includes assisting clients with the development and launch of new funds and share classes, fund restructurings, reorganizations and mergers, regulatory and compliance matters relating to existing funds, fund governance issues and the applicability and interpretation of federal and state securities laws.

Mena serves as a member of Stradley Ronon’s board of directors.

  • assisted in the representation of Pacific Life in the sale of its third‐party credit asset management firm, Pacific Asset Management, LLC, which at closing managed over $20 billion, to Aristotle Capital Management, LLC
  • assisted in the representation of one of the firm’s largest investment fund clients (and one of the top 10 fund groups in the U.S.) on two transformational acquisitions, including the acquisition of an ETF business, involving the reorganization of 67 ETFs into the client’s platform, and the acquisition of an asset management business with 104 mutual funds and ETFs, as well as collective trusts, UCITS, separate accounts and private accounts, totaling approximately $250 billion
  • assisted in the representation of several leading global investment firms, including matters related specifically to registration statement review and compliance, the drafting of complex strategy and risk disclosure, and the launch of novel investment products including alternative strategy and ESG-focused funds
  • assisted in the representation of the independent trustees of an investment company client with a unique multi-manager structure
  • assisted with multiple complex-wide proxy solicitations for clients involving hundreds of mutual fund participants (including master-feeder structures)
  • assisted in the representation of a large investment management company complex in connection with a significant project involving the redomestication of its closed-end funds to Delaware statutory trusts, followed by mergers involving the closed-end funds
  • assisted in the representation of a leading independent global investment management firm in connection with the client’s acquisition of more than 120 funds from a multinational financial services corporation, including certain matters related to the rationalization of the client’s product lineup thereafter
  • advised various money market funds in connection with money market fund reforms adopted by the SEC in 2014
