Stradley Ronon Advises Silvi Materials in Acquisition of Eagle Rock Concrete
Stradley Ronon represented Pennsylvania-based Silvi Materials, a vertically integrated leader in construction materials, in its acquisition of Eagle Rock Concrete, a premier ready-mix concrete producer based in North Carolina. The transaction closed September 2.
The combined company will operate as Eagle Rock Concrete, a Silvi Materials Company. This acquisition represents Silvi’s expansion into the Southeast U.S. construction market, bringing nine high-production ready-mix plants in the Raleigh-Durham area.

Stradley Ronon Team Secures High-Profile Win for PhilaPort in Port Construction Case
Stradley Ronon has obtained a sweeping victory on behalf of the Philadelphia Regional Port Authority (PhilaPort) in a highly contested matter over the proposal of a new port on the Delaware River.
In Philadelphia Regional Port Authority v. U.S. Army Corps of Engineers, PhilaPort alleged that Diamond State Port Corp.’s construction of a port in Edgemoor, Delaware, would divert shipping from Philadelphia to Delaware and that the permitting process led by the U.S. Army Corps of Engineers (Army Corps) failed to meet the requirements of the Administrative Procedure Act, among other claims.
In a published opinion on October 28 that adopted most all of the port authority’s positions, the U.S. District Court for the Eastern District of Pennsylvania vacated various underlying permits and authorization issued by the Army Corps. Significantly, the court noted that Diamond State never sought a statement of no opinion from PhilaPort, the first step in the permitting process.
The court ordered the Army Corps to reevaluate the project, effectively restarting the permitting process. This win for PhilaPort is the result of our team’s vigorous representation and will have a significant impact on the long-term shipping business in the Philadelphia region.

Stradley Ronon Advises Mini Melts in Investment by Altamont Capital Partners
A cross-practice team of Stradley Ronon lawyers represented Mini Melts USA, a producer and distributor of novelty ice cream products headquartered in the Philadelphia area, in the acquisition of a controlling interest by Altamont Capital Partners. Altamont Capital is a Palo Alto, California-based private investment firm with more than $4 billion in assets under management.
Altamont Capital partnered with Mini Melts to provide growth capital and support an expansion of its distribution footprint and manufacturing capabilities. Mini Melts’ CEO and founder will remain in his role and as a major investor alongside Altamont Capital and the company’s existing shareholders.

Stradley Ronon joined client Hilco Redevelopment Partners (HRP), elected officials, and business and community leaders at the groundbreaking for the first phase of The Bellwether District in South Philadelphia. HRP is converting the 1,300-acre former Philadelphia Energy Solutions refinery into a 14-million-square-foot, state-of-the-art campus dedicated to innovation, e-commerce and logistics. The demolition of the refinery resulted in a 16 percent reduction in emissions in Philadelphia, and the new site will offer a cleaner environment and increased economic opportunities for the region.

Allied Resources Group Acquires RTR Energy Solutions Assets
Stradley Ronon represented Allied Resources Group, a holding company to a host of niche technical companies in Pennsylvania, New Jersey, Indiana and Ohio, providing engineering, technical recruiting, healthcare, industrial inspection and construction management support services in connection with its acquisition of substantially all of the assets of RTR Energy Solutions, providing services relating to designing, building and maintaining power delivery systems in the electric utility and other power delivery sectors, including negotiating and closing amendments to ARG’s credit facilities for such acquisition.

Stradley Ronon represented AIM Academy, a private school with approximately 315 students from grades 1-12 with language-based learning differences, in the purchase of its 4.5-acre campus from an affiliate of the Buccini-Pollin Group. The firm also represented AIM Academy in its initial interim financing with Bryn Mawr Trust Company and its subsequent tax-exempt refinancings through the East Norriton Industrial Development Authority and the West Norriton Industrial Authority.
