Jason Jones has more than 25 years of experience advising businesses and their owners on a broad variety of corporate matters, with a particular focus on mergers and acquisitions of closely held middle-market businesses.
Jason represents businesses active in a wide range of industries, including manufacturing, retail, financial services, engineering services, human resources consulting, telecommunications and investment management. He advises clients with respect to the organization and structure of corporations, limited liability companies, limited partnerships and other business entities, and drafts and negotiates stockholder agreements, operating agreements, limited partnership agreements and other contracts related to corporate governance. Jason’s experience includes advising clients on venture capital investments, the private placement of securities, and the liquidation and dissolution of corporations and other entities.
Prior to law school, Jason became licensed as a certified public accountant (presently inactive) and worked for a global certified public accounting firm.

Represented a privately held manufacturer of precision deep drawn enclosures and shallow drawn metal components in connection with the sale of all of its equity interests to a private equity fund.
Represented a retailer of footwear and related products with stores in Asia and the United States in connection with its sale to a publicly owned corporation.
Represented a closely held company with operations in engineering, technical recruiting, health care, industrial inspection and construction management in connection with its acquisition of an engineering services firm.
Represented an industrial biotechnology company in the business of developing, manufacturing and commercializing bioactive ingredients in the sale of Series Seed Preferred Stock to an investor.
Represented a pre-clinical-stage biotechnology company developing targeted entheogen therapeutics in the sale of an ownership interest in the company to a venture fund.
Represented a privately held manufacturer and retailer of paint and related products in connection with its sale to a publicly owned corporation.
Represented a publicly owned corporation in the acquisition of the assets or stock of a related group of companies in the retail apparel and footwear product identification business with business entities and operations in the United States, United Kingdom and Asia.
Advised a subsidiary of a publicly owned corporation in connection with the acquisition by merger of a provider of human resources consulting services and products in the United States and Europe.
Represented a publicly owned corporation in connection with the acquisition of a minority interest in two Korean corporations related to the settlement of a dispute concerning patents.
Counseled the principal stockholders of a privately held corporation with subsidiaries in Ireland, Hong Kong and China that operated as a contract manufacturer and supply chain partner for original equipment manufacturers in the sale of the stock of the corporation to a publicly owned corporation.
Advised a publicly owned corporation in connection with the acquisition of the stock of an Israeli designer, manufacturer and supplier of high-speed data transmission products.
Represented a privately held provider of local and long-distance telephone services and certain non-regulated services — including television, cable, internet and telephone ancillary services — in the sale of substantially all of its assets.
Represented a privately held demolition and environmental contracting corporation in connection with the sale of a minority interest in the company to a private equity fund.
Advised a private equity fund in connection with the acquisition of a membership interest, constituting 50 percent of all issued and outstanding membership interests, in a limited liability company that manufactures, bottles, markets and distributes malt beverages and related products.
Counseled a venture capital fund in the acquisition of preferred stock of a drug discovery and development company.
Community Impact
Jason served on the board of directors and as secretary of both the Rotary Club of Philadelphia and the Foundation of the Rotary Club of Philadelphia, and presently serves as a trustee and president of the Foundation of the Rotary Club of Chestnut Hill.
Jason is active with the Presbyterian Church of Chestnut Hill and previously served as a deacon.
