Stradley Ronon represented TradePMR, a custodial and portfolio management platform for Registered Investment Advisors (RIAs), in an approximately $300 million acquisition by Robinhood Markets, Inc., which closed on February 26, 2025. TradePMR has over 25 years in the industry, and the acquisition will accelerate Robinhood’s delivery of investment advisory capabilities to customers by bringing in a scaled RIA custodial platform with approximately 350 firms and more than $40B in assets under administration.

Stradley Ronon represented Pacific Life Insurance Company with the sale of its third‐party credit asset management firm, Pacific Asset Management, LLC, which manages over $20 billion in assets, to Aristotle Capital Management, LLC. The transaction creates Aristotle Pacific Capital, LLC (Aristotle Pacific).

Stradley Ronon assisted Berger Rental Communities and its affiliate Berger Investments with the acquisition of three apartment communities in Pennsylvania. Berger Rental Communities is a full-service company that owns and manages apartment communities in Pennsylvania, Delaware and Maryland.

Represented the ownership group of Burns Mechanical, Inc., a prominent mechanical and engineering services firm in Southeastern Pennsylvania headquartered in Horsham, PA, in connection with the sale of all of its stock to Southland Industries, a privately held mechanical, engineering and plumbing (MEP) services firm located in Grove City, CA.

Stradley Ronon represented Allied Resources Group, a holding company to a host of niche technical companies in Pennsylvania, New Jersey, Indiana and Ohio, providing engineering, technical recruiting, healthcare, industrial inspection and construction management support services in connection with its acquisition of substantially all of the assets of RTR Energy Solutions, providing services relating to designing, building and maintaining power delivery systems in the electric utility and other power delivery sectors, including negotiating and closing amendments to ARG’s credit facilities for such acquisition.

Stradley Ronon represented AscellaHealth, a global specialty pharmacy and healthcare solutions company, in connection with its consummation of a strategic alliance with Optime Care, a Specialty Pharmacy (SP) servicing small patient communities, to further enhance AscellaHealth’s ability to become a leader in SP services and establish a strong trajectory for growth, including negotiating and closing on AscellaHealth’s financing for such alliance.

Represented Jako Holding Company, the parent company of KicksUSA and UBIQ, specialty retailers of urban footwear and apparel, in the negotiation and documentation of multimillion-dollar revolver and term loans.

KicksUSA was founded in 2002 to provide urban footwear and apparel, and career opportunities to communities in Philadelphia, New Jersey and surrounding areas. Since opening their first store at the Rising Sun Plaza in Philadelphia, they have expanded to 33 locations in Philadelphia and New Jersey. UBIQ is a Philadelphia-based store with unique brand-name sneakers and urban-style clothes.

Stradley Ronon is representing Atmos, a Japan-based global streetwear and sneaker brand with 49 stores across Asia and the U.S., in its sale to Foot Locker for $360 million.

Stradley Ronon worked on the merger of Atmos, a global brand headquartered in Tokyo, with UBIQ, a renowned Philadelphia and Washington, D.C. sneaker boutique, creating Atmos USA.

Atmos is a streetwear and sneaker brand, with 38 stores across four countries in Asia and in the US. The merger will expand the brand’s footprint in the US.

Stradley Ronon represented Gencore Investments, LLC (DBA Berger Rental Communities) in acquiring and financing four apartment communities owned by seven different entities comprising a total of 1,438 apartment units in the Pittsburgh, PA suburbs. With this acquisition, Berger Rental Communities has grown to 40 apartment communities with approximately 9,000 apartment units across Pennsylvania, Delaware, and Maryland.

Stradley Ronon represented Pine Hill Group, a leading accounting and transaction advisory firm, in its sale to CFGI, a national provider of high-end technical accounting and finance advisory services.

Founded in 2007, Pine Hill Group provides public, private and private equity clients with integrated capital markets, technical accounting and financial reporting advice during every stage of the business lifecycle.

CFGI is a portfolio company of The Carlyle Group (NASDAQ: CG).

Stradley Ronon represented Armstrong World Industries, Inc. in its acquisition of Architectural Components Group, Inc., an industry leader in custom wood ceilings and walls. AWI is a global leader in the design and manufacture of innovative commercial and residential ceiling, wall and suspension system solutions.

Stradley Ronon represented Interstate Aerials in connection with the sale of its business to Sunbelt Rentals

Interstate Aerials is one of the largest independently operated aerial equipment rental companies on the East Coast, and works with refineries, power plants, structural steel contractors, general contractors and mechanical contractors.

Stradley Ronon represented Armstrong World Industries, a global leader in the design and manufacture of innovative commercial and residential ceiling, wall and suspension system solutions, in its acquisition of Steel Ceilings, Inc., a manufacturer of architectural and radiant metal ceilings.

Stradley Ronon represented Independence Health Group (IHG), parent company of Independence Blue Cross, in an asset purchase that included customer contracts from Minnesota-based Comprehensive Care Services Inc., a third-party administrator that provides services to employers, union groups and tribal businesses and communities that self-fund their health plans. The purchase, made by two IHG subsidiaries, continues the expansion of Independence Health Group’s third-party administrator business by acquiring third-party administrator and Tribal business from CCS totaling approximately 30,000 members in Minnesota, Nebraska, North Dakota, South Dakota, Washington and Wisconsin.

Stradley Ronon represented UMB Financial in completing the sale of its institutional investment management subsidiary, Scout Investments, to Carillon Tower Advisors, a unit of Raymond James Financial, for $172.5 million in cash. The transaction involved the reorganization of the Scout mutual fund family over to CTA/Raymond James. Scout Investments is based in Kansas City, Missouri, and Columbus, Indiana, and had $27.3 billion in assets under management as of Dec. 31, 2016.

Stradley Ronon represented Lovell Minnick Partners in its majority investment in CenterSquare Investment Management, a global investment manager with approximately $9 billion in assets under management in U.S. and global real estate and infrastructure investments, in connection with the acquisition by Lovell Minnick Partners and CenterSquare’s management of CenterSquare’s business from BNY Mellon Investment Management. Founded in 1999, Lovell Minnick Partners is an independent private equity firm specializing in the financial and business services sectors. Having raised $1.7 billion in committed capital, the firm has provided equity capital for growth investments, management buyouts, succession and ownership transitions, and recapitalizations for over 30 middle-market companies.
