Having represented leading global investment firms, Taylor Brody is well versed in a broad array of investment management and securities law matters, including the formation, registration and ongoing operations of investment companies; the preparation of regulatory filings; the applicability and interpretation of federal securities laws; the drafting of compliance procedures and corporate policies; and various transactional matters, such as fund mergers and closed-end fund tender offers.
In particular, Taylor counsels closed-end fund advisers and boards on day-to-day operations, including how they should prepare for and respond to activist shareholder attacks. She is fluent in the latest closed-end fund issues and related litigation and legislative developments.
More broadly, Taylor advises registered investment companies and fund boards on the federal securities laws pertaining to the formation, registration and ongoing compliance of open-end and closed-end funds, including exchange-traded funds (ETFs), money market funds, multi-manager funds and sub-advised funds. She drafts and reviews critical documents, such as registration statements on Form N-1A, Form N-2 and Form N-14; proxy statements and solicitation materials; information statements; shareholder reports; and U.S. Securities and Exchange Commission (SEC) no-action letters.
In addition, Taylor counsels investment advisers with respect to their obligations under federal securities laws. She also advises boards of directors on issues arising under the Investment Advisers Act of 1940 and the Investment Company Act of 1940, as well as corporate governance matters.

Community Impact
For more than 17 years, Taylor has provided legal representation and social services advocacy to foster children in Philadelphia. Her work with the Support Center for Child Advocates — the oldest and largest program in the United States dedicated exclusively to providing pro bono legal services for children in crisis — has been recognized both by Child Advocates and the First Judicial District of Pennsylvania.
