Caroline Gorman leads the corporate department, encompassing the firm’s transactional, corporate governance, finance, real estate and intellectual property capabilities across nine offices. An active leader within the firm, Caroline also serves on the board of directors.
As chair of the corporate department, Caroline leverages her business acumen to spearhead initiatives and set the strategic direction for the team, including strategy, growth and focus.
In her day-to-day practice, Caroline focuses her practice on all aspects of secured and unsecured financing, including asset-based financing, second-lien, mezzanine and other junior credit financing, real estate acquisition, development and construction financing, healthcare financing, general secured financing and loan workouts. Caroline represents banks, commercial finance companies, private credit funds and various other lenders in all aspects of commercial lending. She also regularly represents clients as bond counsel and underwriter’s counsel related to tax-exempt financing for 501(c)(3) entities, governmental units and other entities.
Caroline's practice often involves structuring and completing project financings for the construction of major infrastructure improvements for nonprofit institutions. Caroline also represents clients with respect to restructuring projects involving multinational enterprises and post-acquisition integration.
Caroline has been repeatedly recognized for her accomplishments, particularly in the secured finance industry.
Featured Representative Matters
Represented governmental issuers and authorities, letter-of-credit providers, as well as underwriters and borrowers in dozens of tax-exempt financings.
Represented the developer and owner of an over $100 million mixed-use project at 38th and Chestnut streets in Philadelphia involving several levels of equity investment, debt financing and New Markets Tax Credit financing.
Represented a multinational corporation in the successful post-acquisition integration and reorganization of global treasury operations, including project management of the efforts of three global law firms across two dozen countries and operating companies.
Represented a state-chartered bank in the concurrent transactions of its reorganization into a bank holding company structure, acquisition by merger of another bank holding company, and initial registration of its securities on Form S-1, to be issued in connection with both the reorganization and merger.
Represented a real estate investment trust (REIT) in its sale of 16 non-core portfolio hotels to Blackstone Real Estate Advisors LP, a subsidiary of Blackstone Group LP, for approximately $217 million.
Represented a manufacturer of high-performance fibers and fiber coatings in connection with its $38 million sale to an affiliate of a private equity company.
Represented a publicly held company (Nasdaq) in the acquisition of another publicly held company using registered common stock and cash as the acquisition currency.
Community Impact
Caroline is a former member of the board of directors for Pan American Academy Charter School, a bilingual, community-minded charter school in North Philadelphia. She currently serves on the boards of Saint Mary Interparochial School and Project Magis.
She was also previously involved with the Philadelphia chapter of Back on My Feet, organizing events within Stradley Ronon to raise funds for the organization and support its mission of empowering individuals experiencing homelessness to achieve economic independence.
