As a partner in Stradley Ronon’s corporate department and co-chair of the firm’s structured finance practice, Kevin Kundra represents clients in a broad array of industries, with a particular focus on financial services and the investment management, mortgage and fintech sectors.
Kevin often advises financial services businesses — including banks, insurance companies, asset managers, registered funds, private funds and non-U.S. funds — as they complete transactions such as debt, equity and asset-backed security portfolio investments; mergers; restructurings; credit facilities; securitizations; swaps; and derivatives.
Kevin’s work spans all aspects of federal and state securities law, including public and private securities offerings, corporate governance, compliance and reporting matters, mergers and acquisitions, and general corporate and commercial representation.

Represented a global real estate investment manager with an equity investment in one of the largest and fastest-growing private data center developers in the Americas.
Advised a leading fintech partner bank in connection with the development and implementation of new origination and servicing programs for, and related transactions involving, a number of different online loan products.
Acted as issuer counsel for a federal government agency in connection with a series of transactions to re-securitize a variety of asset-backed securities previously held by failed financial institutions.
Advised an insurance company complex and its investment adviser affiliate in structuring and closing a series of rated, asset-backed notes transactions collateralized by life settlements, as well as the warehousing of life settlements assets.
Represented numerous mutual funds, private funds and non-U.S. funds in single-bank and syndicated redemption and investment leverage credit facilities.
Represented several nationally recognized investment managers in numerous collateralized loan obligation (CLO) and a variety of other collateralized debt obligation (CDO) structured finance transactions (including the formation of requisite warehouse facilities).
Represented issuers and trustees in asset-backed securitization transactions involving mortgages, life settlements, equipment leases, stranded cost receivables and various other asset classes.
Negotiated enterprise-wide International Swaps and Derivatives Association (ISDA) agreements, centrally cleared swap agreements, futures agreements, repurchase agreements and other derivatives documentation for numerous mutual fund complexes, investment advisers and other financial institutions.
Formed and closed the securities offerings to fund and negotiated the subsequent investments made by numerous private equity, real estate and hedge funds.
Handled public and private equity and debt offerings, including initial public offerings (IPOs), follow-on and secondary offerings, private investment in public equity (PIPE) offerings, convertible securities offerings, and Rule 144A and Regulation S offerings.
