Mena Larmour focuses her practice on counseling investment companies, independent trustees and investment advisers on a wide range of issues arising under the Investment Company Act of 1940 and other federal securities laws. She regularly advises clients on matters such as the formation, registration and ongoing regulation of all types of investment companies across all asset classes, including mutual funds, closed-end funds, interval funds, exchange-traded funds (ETFs), multi-manager funds and money market funds.

Advising on the creation and development of the BNY Dreyfus Stablecoin Reserves Fund, one of the first money market funds intended to function as a permitted reserve vehicle for payment stablecoin issuers under the Guiding and Establishing National Innovation for U.S. Stablecoins (GENIUS) Act.
Representing boards and independent directors of fund companies of varying sizes and complexity.
Advising on all aspects of open-end, closed-end and interval fund product development, regulation, disclosure and compliance matters.
Advising on the development and management of alternative asset classes and strategies, such as derivatives and other complex instruments.
Assisting investment management firms and funds in navigating U.S. Securities and Exchange Commission (SEC) exams.
Handling mergers and acquisitions involving investment companies and investment advisers.
Within the firm, Mena serves on the management committee and board of directors. She has been repeatedly recognized for her sustained commitment to supporting the firm’s junior and rising associates, including as a 2023 Best Law Firm Mentor by The Legal Intelligencer. Assisted in representingPacific Lifein the sale of its third‐party credit asset management firm, Pacific Asset Management LLC — which at closing managed over $20 billion — to Aristotle Capital Management LLC.
Assisted one of the firm’s largest investment fund clients (and one of the top 20 fund groups in the United States) on two transformational acquisitions, including the acquisition of an ETF business, involving the reorganization of 67 ETFs into the client’s platform, and the acquisition of an asset management business with 104 mutual funds and ETFs, as well as collective trusts, undertakings for collective investment in transferable securities (UCITS), separate accounts and private accounts, totaling approximately $250 billion.
Structured and supervised the conversion of a listed closed-end fund into an unlisted interval fund.
Advise closed-end fund asset managers on various topics including related to shareholder activism.
Represents several leading global investment firms, including matters related specifically to registration statement review and compliance, the drafting of complex strategy and risk disclosure, and the launch of novel investment products.
Assisted in representing the independent trustees of an investment company client with a unique multi-manager structure.
Managed multiple complex-wide proxy solicitations for clients involving hundreds of mutual fund and ETF participants.
Assisted in representing a large investment management company complex in connection with a significant project involving the redomestication of its closed-end funds to Delaware statutory trusts, followed by mergers involving the closed-end funds.
Assisted in representing a leading independent global investment management firm in connection with the client’s acquisition of more than 120 funds from a multinational financial services corporation, including certain matters related to the rationalization of the client’s product lineup thereafter.

Mena sits on the board of directors of the Drueding Center, the first transitional housing and comprehensive support program for women and children experiencing homelessness in Philadelphia.
