A member of the firm’s nationally recognized investment management practice, Michael represents mutual funds, ETFs, closed-end funds, private funds, independent directors and investment advisers in connection with various regulatory, compliance and transactional matters. He has experience with the establishment, registration, operation and reorganization of registered investment funds (both mutual funds and ETFs), as well as with the compliance obligations of investment advisers and investment companies.
In addition to advising clients on the federal securities laws pertaining to formation, registration and ongoing compliance, Michael drafts and reviews critical documents — such as registration statements, proxy statements, exemptive applications, information statements, shareholder reports and state law filings — and responds to related U.S. Securities and Exchange Commission (SEC) inquiries. He also assists clients with Form N-14 filings related to reorganization plans and registration statements in connection with affiliated and nonaffiliated fund mergers and acquisitions.
Michael is well versed in the various issues that may arise under the Investment Advisers Act of 1940 and the Investment Company Act of 1940 and counsels boards of directors on matters related to corporate governance.
Michael is a former staff attorney for then-U.S. Magistrate Judge John Conroy of the District of Vermont and previously served as staff assistant and press assistant for U.S. Rep. Peter Welch, D-Vermont (now senator).
