Stradley Ronon Represents 1st Colonial Bancorp in Acquisition by Mid Penn Bancorp
Stradley Ronon advised 1st Colonial Bancorp Inc., the parent company of Mount Laurel, New Jersey-based 1st Colonial Community Bank, in a merger agreement with Harrisburg, Pennsylvania-based Mid Penn Bancorp Inc. in which Mid Penn acquired 1st Colonial in a cash and stock transaction valued at approximately $106.1 million. In connection with the holding company merger, 1st Colonial Community Bank was merged with and into Mid Penn’s subsidiary bank, Mid Penn Bank.
The transaction, which was completed on February 27, further expands Mid Penn’s presence in the Greater Philadelphia area and southern New Jersey.

Stradley Ronon Serves as Oversight Manager for Patent Capital Funding 2025-A
Stradley Ronon has been appointed oversight manager for the Patent Capital Funding 2025-A transaction. Patent Capital Funding (PCF) is a novel patent litigation finance platform, managed by Tenadio Corp. and Waterford Capital Inc., which marries elements of structured finance and more traditional litigation funding. PCF 2025-A involves $60 million in financing for a portfolio for six patent infringement cases involving claims across a wide variety of technologies. As oversight manager, the Stradley Ronon team performs independent due diligence and provides ongoing case monitoring and transaction management services for the PCF program. Stradley Ronon has partnered with PCF since its inception and has served as oversight manager on all transactions completed to date.

Stradley Ronon represented Fountain Life, an advanced diagnostics and preventative health company, in its acquisition of health data technology company LifeOmic. As a result of the transaction, Fountain Life owns all of LifeOmic’s intellectual property, including the LifeOmic Platform and software, LifeOmic Patient Mobile App, consumer-focused mobile apps and science-backed educational content. The deal supports Fountain Life’s mission of transforming the healthcare system into one that is proactive and data-driven.

Stradley Ronon represented Loris, in connection with a $12M Series A Preferred Stock financing led by Bow Capital, with participation from ServiceNow Ventures and existing investors, Floodgate and Vertex Ventures. Loris brings better conversations to the world by enabling brands to scale human experiences with their customers. Loris is a conversational AI platform that guides customer support agents in real-time during digital conversations (chat, SMS, email, etc.) with empathy techniques and intent-based language suggestions that improve productivity metrics and positive customer outcomes. Loris plans to invest the funds to expand their AI capabilities to generate voice-of-customer insights and further enable non-technical leaders that oversee customer service and support teams to efficiently and effectively scale the ‘human touch’ of their department.

Stradley Ronon represented UMB Financial in completing the sale of its institutional investment management subsidiary, Scout Investments, to Carillon Tower Advisors, a unit of Raymond James Financial, for $172.5 million in cash. The transaction involved the reorganization of the Scout mutual fund family over to CTA/Raymond James. Scout Investments is based in Kansas City, Missouri, and Columbus, Indiana, and had $27.3 billion in assets under management as of Dec. 31, 2016.
