PHILADELPHIA — Stradley Ronon partner Lisa Jacobs and managing counsel Colin Cassedy served as speakers for a July 30 session titled “Joint Ventures and Limited Liability Companies – Don’t Get Deadlocked” as part of the Association of Corporate Counsel (ACC) Greater Philadelphia chapter’s Contracts & Commercial CLE Webinars. They were joined by ACC member John Ungar, who serves as corporate counsel and director of planning at NewCourtland.

The webinar provided practical guidance on drafting organizational and operating agreements to avoid decision-making deadlock for joint ventures and limited liability companies (LLCs). The team addressed key governance considerations and shared tips and lessons learned from litigation to help organizations proactively mitigate risk.

Lisa has nearly 40 years of experience representing businesses and institutions on U.S. and global transactional matters. She has served as an adviser to both private and public companies in a wide variety of industries on matters related to mergers and acquisitions, corporate finance, institutional and private equity financings, and organizational structuring and governance issues.

Colin focuses his practice on the financial services industry, handling matters pertaining to securities litigation and regulatory proceedings, including securities lawsuits in federal and state courts, arbitration proceedings, enforcement actions and internal investigations. His clients range from broker-dealers and investment advisers to public and private companies.
