Having played an integral role in several high-stakes securities law matters, Shawn Hendricks is relied upon by the full spectrum of investment companies (including mutual funds, closed-end funds and exchange-traded funds), private funds and investment advisers in connection with various regulatory, compliance and transactional issues.
A member of the firm’s nationally recognized investment management practice, Shawn provides analysis for clients in all aspects of legal representation, including preparing regulatory filings, drafting and reviewing registration statements, offering documents and proxy solicitation materials, researching various securities and corporate law issues, reviewing and negotiating contracts, and counseling boards on various regulatory issues.
Notably, he has been involved in several large exchange-traded fund (ETF) mergers and acquisitions, including representing the O’Shares funds in a strategic transaction with SS&C ALPS Advisors, conversions of private funds to ETFs, and various fund launches with novel investment strategies. He also played a key role in one of the largest asset management M&A deals in 2018, advising Invesco in connection with its acquisition of OppenheimerFunds from MassMutual for $5.7 billion in a deal that put the combined group among the largest money managers in the U.S. market.
Outside of his day-to-day legal practice, Shawn has several roles within Stradley Ronon. Along with co-chairing the firm’s hiring committee, he serves on the firm’s pro bono, inclusion, associate development, and talent and mentorship committees. He is the pro bono liaison for the firm’s Philadelphia office. Shawn was selected as a 2023 Fellow by the Leadership Council on Legal Diversity (LCLD).
