PHILADELPHIA — Stradley Ronon partner Taylor Brody participated in a panel as part of the Mutual Fund Directors Forum (MFDF) Closed-End Fund Roundtable on July 29 in New York. The event brings together industry leaders to discuss important issues facing boards of closed-end funds, including threats from activist shareholders, oversight of interval and tender offer fund structures, product development, distribution, valuation considerations and liquidity constraints.
During her panel, “An Update on Closed-End Fund Shareholder Activism,” Taylor and other panelists discussed the history of the closed-end fund, the rise of activism, key factors in board oversight, and the future of activism. Taylor also discussed the U.S. Supreme Court’s landmark ruling in June, FS Credit Opportunities v. Saba Capital Master Fund, and its impact for the closed-end fund industry.
Taylor co-authored an article in May previewing the case and sharing its potential impact on the industry.
Having represented leading global investment firms, Taylor is well versed in a broad array of investment management and securities law matters, including the formation, registration and ongoing operations of investment companies; the preparation of regulatory filings; the applicability and interpretation of federal securities laws; the drafting of compliance procedures and corporate policies and various transactional matters such as fund mergers and closed-end fund tender offers.
