Overview

Jason Jones is engaged in the practice of business law, with particular emphasis on mergers and acquisitions of middle-market businesses; organizing and structuring corporations, limited liability companies and other business entities; and drafting and negotiating shareholders’ agreements and business contracts. His experience includes advising clients with respect to cross-border transactions, the private placement of securities, and the liquidation and dissolution of corporations and other business entities.

Jason represents closely held businesses and public companies active in a broad range of industries, including the manufacturing, human resources consulting, telecommunications, engineering services, environmental consulting and services, food and beverage, pharmaceutical, mutual fund, and nursing and long-term care industries.

  • represented a publicly held corporation in connection with the acquisition of a minority interest in two Korean corporations related to the settlement of a dispute concerning patents

  • advised a publicly owned corporation in connection with the acquisition of the stock of an Israeli designer, manufacturer and supplier of high-speed data transmission products
  • represented a privately held provider of local and long distance telephone services and certain non-regulated services, including television, cable, internet and telephone ancillary services, in connection with the sale of substantially all of its assets
  • represented a privately held demolition and environmental contracting corporation in connection with the sale of a minority interest in the company to a private equity fund
  • advised a private equity fund in connection with the acquisition of a membership interest, constituting 50 percent of all issued and outstanding membership interests, in a limited liability company that manufactures, bottles, markets and distributes malt beverages and related products
