Stradley Ronon Welcomes Corporate Partner Irwin Latner in New York

PHILADELPHIA – Stradley Ronon is excited to announce the continued expansion of its New York office with the addition of partner Irwin M. Latner to its transactional practice. For over 30 years, Irwin has been a trusted legal adviser representing family offices, private investment funds and asset managers in various investment fund and platform formations, regulatory and compliance matters, and related transactional matters.

Latner’s private funds background is extensive and dovetails nicely with Stradley’s powerhouse investment management practice. In his private funds practice, Latner represents funds and managers pursuing a range of liquid, illiquid and hybrid investment strategies, including direct lending funds, emerging market and macro funds, structured credit funds and art funds, as well as traditional hedge, private equity, real estate, venture capital and energy/infrastructure funds. In addition, he advises cutting-edge crowdfunding and online investment platforms and counsels several emerging companies and private equity firms in transactional matters.

Latner also brings practical knowledge honed by years of experience advising hedge and private equity fund managers. He supports those clients’ needs by providing strategic preformation counseling and assisting with fund setup and structuring, SEC and CFTC registration and compliance matters, agreements with seed and early-stage investors, upper-tier management company structuring, employment and compensation arrangements, and compliance with applicable federal and state laws.

Latner’s private funds experience is an excellent complement to the legal and business guidance he provides to his family office clients. He counsels family offices in all areas of their business and investment platforms, including building single-family and multi-family office organizational structures and providing related regulatory guidance. He also assists family offices with tax and transaction strategies, asset management advice, estate planning, charitable giving, risk management, and employment matters, as well as with strategic third-party vendor, co-investment and deal sourcing introductions.

Latner is the seventh lateral partner to join Stradley Ronon since August 2021. He follows the additions of Washington, D.C.-based partner Susan Gault-Brown; New York-based partners Lori S. Smith, Randy M. Friedberg, Joshua G. Galante and Andrew I. Hamelsky; and Philadelphia-based partner Lisa R. Jacobs.

Latner received his J.D., magna cum laude, from Brooklyn Law School and his B.A. from Rutgers College. He was formerly a partner at Troutman Pepper.
