William Mandia


Bill Mandia represents clients in complex commercial and class action litigation in the areas of insurance coverage, securities, director and officer liability, merger and acquisition disputes, shareholder disputes, and receiverships. Bill regularly defends primary and excess insurance carriers and liquidators in coverage disputes and bad faith claims, including disputes involving property-casualty, D&O, E&O, environmental and other special liability lines of coverage, and represents financial institutions and life insurers in the defense of claims involving a wide range of financial and life insurance products.

Bill also has substantial experience representing clients in connection with claims that arise under complex statutory schemes, including the Racketeer Influenced and Corrupt Organizations Act (RICO); the Financial Institutions Reform, Recovery and Enforcement Act; and federal securities laws.

Representative Matters

  • represented an excess insurer in a complex, multimillion-dollar coverage action that resulted in a jury verdict in favor of the insurer at a phase-one trial
  • secured the dismissal at the pleading stage of preference and fraudulent transfer claims brought by bankruptcy trustees against a regulatory agency that were alleged to be in excess of $100 million
  • represented a public company defendant and its two principal officers at the trial of a Rule 10b-5 securities fraud claim that resulted in a judgment in favor of the defendants
  • defended two former corporate officers of a publicly traded company in consolidated federal securities fraud class actions that arose out of an earnings restatement and resulted in a favorable settlement
  • defended a publicly traded company in class action/derivative lawsuits challenging its acquisition where a favorable settlement was obtained
  • participated in the representation of a court-appointed receiver in a hedge fund fraud case that resulted in a recovery in excess of $75 million, including primary responsibility for briefing complex RICO issues that defeated dispositive motions challenging the receiver’s RICO claims
  • obtained multimillion dollar, pre-suit settlements on behalf of a receiver based on claims that arose out of failed financial institutions
  • obtained the dismissal at the pleading stage of a putative class action brought by borrowers against a bank alleging that the bank violated several state consumer protection laws by allegedly providing inflated payoff statements in connection with refinancing transactions
