PHILADELPHIA — The American Bar Association (ABA) Business Law Section welcomed Stradley Ronon partner Lisa Jacobs to present at the Spring 2025 Meeting. The presentation took place on April 25 in New Orleans.
The presentation, titled “Like Swiss Cheese: Exceptions to LLC Charging Order Exclusivity in and out of Bankruptcy,” discussed the numerous exceptions to the statutory mandate that a charging order be a creditor’s exclusive remedy against a debtor/member’s interest in an LLC or partnership. The program considered preemption by federal law, less obvious statutory exceptions identified by the courts, single member LLC interests, foreclosure, and other exceptions, as well as whether there is an ongoing erosion of the pick-your-partner principle.
Lisa has more than 35 years of experience representing businesses and institutions on domestic and international transactional matters. She has served as an adviser to both private and public companies in a wide variety of industries on matters related to mergers and acquisitions, corporate finance, institutional and private equity financings, and corporate and organizational governance issues.
