The program focuses on the nuances of financings involving security interests in limited liability company (and partnership) interests. The backdrop for the program is the intersection of Article 9’s provisions on the creation, perfection, and enforcement of a security interest in a membership interest in a limited liability company, Article 8 implications of uncertificated securities, the limited liability company act of the state of the limited liability company’s organization, the Uniform Commercial Code of the state of organization of the limited liability company, choice-of-law rules, the law of guaranty and suretyship, the law of “persons”, and state and federal securities laws.
